Consulting Services

Engagement Terms

Specific consulting engagements will be governed by separate statements of work (SOW) or master service agreements (MSA) that detail scope, deliverables, timelines, and fees. In the event of a conflict between these Terms and a specific engagement agreement, the engagement agreement shall prevail.

Client Responsibilities

Clients engaging our services agree to:

  • Provide accurate and complete information necessary for service delivery
  • Make timely decisions and provide feedback as requested
  • Ensure appropriate access to systems and personnel
  • Pay invoices according to agreed payment terms
  • Maintain confidentiality of any proprietary methodologies shared

Confidentiality

We treat all client information as confidential. We will not disclose your confidential information to third parties without your consent, except as required by law or as necessary to provide our services using our subcontractors who are bound by similar confidentiality obligations.

Limitation of Liability

To the fullest extent permitted by law, Aegis IT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from or relating to these Terms or our services shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Aegis IT and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of your use of our website or services, your violation of these Terms, or your violation of any rights of a third party.

Disclaimer of Warranties

Severability
